1. Agreement to Terms

By accessing or using the website at www.sulbasolutions.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you should not use the Site. These Terms constitute a legally binding agreement between you and Sulba Solutions LLC ("Sulba Solutions," "we," "our," or "us").

2. Description of Services

Sulba Solutions provides technology services, including but not limited to:

  • AI and technology solution development
  • Fractional and interim CTO services
  • Build-and-transfer engagements
  • Productized AI solutions
  • Technology strategy and advisory

The specific scope, deliverables, timelines, and pricing for any engagement will be defined in a separate Statement of Work (SOW) or service agreement between you and Sulba Solutions.

3. Use of the Website

You agree to use the Site only for lawful purposes. You may not:

  • Use the Site in any way that violates applicable local, state, national, or international law.
  • Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems.
  • Use automated tools (bots, scrapers, etc.) to access or collect data from the Site without our written permission.
  • Transmit any malicious code, viruses, or harmful content through the Site.
  • Submit false, misleading, or spam content through the contact form.

4. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, and software — is the property of Sulba Solutions or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Site without our prior written consent.

5. Service Engagements

Separate Agreements

All service engagements are governed by a separate service agreement or Statement of Work. These Terms apply to your use of the Site and do not replace or modify the terms of any engagement agreement.

Confidentiality

Any confidential information shared during the course of an engagement will be treated in accordance with the confidentiality provisions of the applicable service agreement. Information submitted through the Site's contact form is not considered confidential unless otherwise agreed in writing.

Deliverables and Ownership

Ownership of work product and deliverables will be as specified in the applicable service agreement. Our standard build-and-transfer model provides full ownership of custom-built solutions to the client upon completion and payment.

6. Disclaimer of Warranties

The Site is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, Sulba Solutions disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Any information or content on the Site is for general informational purposes and does not constitute professional advice.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Sulba Solutions and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site, regardless of the cause of action or the theory of liability.

Our total liability for any claim arising from your use of the Site shall not exceed the amount you paid to Sulba Solutions, if any, during the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Sulba Solutions, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Site or violation of these Terms.

The Site may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party sites. Accessing third-party links is at your own risk.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
